Please read these Terms of Service carefully before using our website or engaging our services. These terms form a legally binding agreement between you (the client) and GS Info Tech. For specific project engagements, a separate project agreement or statement of work will also apply.

1.Acceptance of Terms
By accessing or using the GS Info Tech website (www.gsinfotech.in) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, clients, and others who access or use our website and services. GS Info Tech reserves the right to update these terms at any time, with changes effective upon posting to this page.
2.Services Description
GS Info Tech provides technology services including, but not limited to:
•Web design and development•Mobile application development (iOS & Android)•Cloud infrastructure and DevOps services•Artificial Intelligence and Machine Learning solutions•Cybersecurity consulting and implementation•Digital marketing and SEO services•UI/UX design and strategy•Enterprise Resource Planning (ERP) and CRM implementation
Specific deliverables, timelines, and pricing for each engagement are defined in separate project agreements, statements of work, or service contracts signed between GS Info Tech and the client.
3.Client Responsibilities
When engaging GS Info Tech for services, clients agree to:
•Provide accurate, complete, and timely information required for project execution.•Designate an authorized representative to make decisions on their behalf.•Respond to requests for approvals, feedback, and content within agreed timeframes.•Ensure all materials provided (logos, images, text, data) are owned by the client or properly licensed for use.•Make payments according to the agreed schedule outlined in the project agreement.•Obtain all necessary permissions, licenses, and approvals required for the project.
Delays caused by the client's failure to fulfil these responsibilities may affect project timelines and costs.
4.Payments & Invoicing
Unless otherwise specified in a project agreement:
•Projects follow a 40-30-30 payment structure: 40% upfront, 30% at agreed milestone, 30% upon delivery.•Invoices are payable within 15 days of issue.•Late payments may incur interest at 2% per month on the outstanding balance.•GS Info Tech reserves the right to pause work on projects with overdue payments.•All prices are in Indian Rupees (INR) unless explicitly stated otherwise.•GST will be applied to all invoices as per applicable Indian tax regulations.
Dispute of any invoice must be raised within 7 days of receipt; otherwise the invoice is deemed accepted.
5.Intellectual Property
Client-Owned Assets: Upon receipt of full payment, clients receive ownership of the final deliverables specifically created for their project (e.g., custom code, designs, content).
GS Info Tech Proprietary Assets: The following remain the exclusive property of GS Info Tech:•Pre-existing frameworks, libraries, tools, and methodologies used in delivery.•Internal processes, know-how, and development workflows.•Generic components and reusable code not specifically developed for the client.
Third-Party Components: Projects may incorporate open-source software, stock assets, or third-party libraries. These are subject to their respective licenses, which will be disclosed to clients upon request.
Portfolio Rights: GS Info Tech reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
6.Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. GS Info Tech will:
•Not disclose client business information, data, or trade secrets to third parties without consent.•Use client information solely for the purpose of delivering agreed services.•Implement reasonable security measures to protect confidential information.
Clients may request a formal Non-Disclosure Agreement (NDA) before sharing sensitive information, which GS Info Tech is happy to sign.
7.Warranties & Disclaimers
GS Info Tech warrants that:
•Services will be performed by qualified professionals with relevant expertise.•Deliverables will materially conform to agreed specifications.•We hold the right to use all tools and technologies employed in delivery.
We do NOT warrant that:
•Our services will be error-free or uninterrupted at all times.•Websites or applications will be free from security vulnerabilities discovered after delivery.•Digital marketing efforts will achieve specific rankings, traffic, or conversion targets, as these depend on external factors beyond our control.
Post-launch bugs discovered within 30 days of delivery and attributable to our work will be fixed at no additional charge.
8.Limitation of Liability
To the maximum extent permitted by applicable law, GS Info Tech's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the preceding 3 months.
GS Info Tech shall not be liable for:
•Indirect, incidental, or consequential damages.•Loss of profits, data, or business opportunities.•Damages resulting from the client's misuse of deliverables.•Third-party service outages (hosting, APIs, cloud providers).•Force majeure events including natural disasters, government actions, or infrastructure failures.
9.Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination:
•The client will pay for all work completed up to the termination date.•GS Info Tech will provide the client with all completed work and project files in a reasonable format.•If termination is due to the client's breach, GS Info Tech may retain deposits as partial compensation.•If termination is due to GS Info Tech's breach, any advance payments for undelivered work will be refunded.
10.Governing Law
These Terms of Service are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
Before resorting to litigation, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
